Plain-English summary: When you buy something from AX Sourcing, you get a license to use it inside your own business — but you can't resell it, give it away, or use it to train AI. Most disputes go through Lemon Squeezy first (our payment processor). We try our best, but the sourcing world moves fast and we can't guarantee outcomes — get professional advice for big decisions.

These Terms of Service ("Terms") govern your access to and use of the AX Sourcing website at axisonsourcing.com, our digital products, and any related services (collectively, the "Services") operated by [CONFIRM: Axison Sourcing — registered legal entity name] ("AX Sourcing", "we", "us", or "our"). By accessing the Services or purchasing any of our digital products, you agree to be bound by these Terms.

1. About AX Sourcing

AX Sourcing publishes digital resources — including country sourcing guides, technical templates, costing benchmarks, and operational frameworks — for the apparel industry, with a focus on brand founders and operations teams scaling production internationally. Some resources are sold; some are provided free with email registration.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Services. The Services are intended for business and professional use. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account & Communications

We do not currently require account creation. When you purchase a product, you provide an email address through our payment processor, Lemon Squeezy. We use that email to deliver your purchase and to send transactional communications.

You may opt out of non-transactional emails at any time using the unsubscribe link in any marketing email or by contacting axisonsourcing@gmail.com.

4. Digital Products & License

4.1 License granted

Upon successful purchase, AX Sourcing grants you a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the purchased digital product for your internal business purposes only, subject to these Terms.

4.2 Permitted uses

You may:

  • Use the product within your own organization;
  • Share the product with employees, contractors, or advisors of your organization who are bound by confidentiality obligations equivalent to these Terms;
  • Modify editable templates for your internal use;
  • Reference the product in internal communications, briefs, and presentations.

4.3 Prohibited uses

You may not:

  • Resell, redistribute, sublicense, lease, lend, or transfer the product to any third party;
  • Use the product as part of a competing service, including sourcing consultancies, paid templates, training programs, or any service offered to third parties;
  • Use the product to train, fine-tune, or otherwise improve any artificial intelligence, machine learning, or large language model;
  • Remove or alter any copyright, trademark, watermark, or attribution notices contained in the product;
  • Make the product publicly available, including on file-sharing platforms, public repositories, or open-source projects;
  • Reverse engineer, decompile, or attempt to extract source data, formulas, or methodology from any product for purposes beyond your own internal use.

4.4 One organization, one license

Each purchase entitles a single organization (and its employees, contractors, and advisors as described above) to use the product. Use across multiple unrelated organizations, multi-tenant deployments, or substantial use beyond a single organization may require additional licensing. Contact us to discuss.

5. Pricing, Payment & Taxes

Prices for products are listed in U.S. dollars (USD) and may change without notice. Changes do not affect orders already placed.

All payments are processed by Lemon Squeezy, our Merchant of Record. Lemon Squeezy collects and remits applicable sales taxes, VAT, and GST based on your billing location. Your payment relationship is with Lemon Squeezy; for payment-related matters, refer to Lemon Squeezy's Terms of Service.

Refunds. Because our products are digital and delivered immediately, refunds are not automatic. Refund requests are reviewed on a case-by-case basis. To request a refund, contact us at axisonsourcing@gmail.com with your order details and the reason for your request. Where granted, refunds are processed by Lemon Squeezy and may be subject to deductions for transaction fees or applicable taxes already remitted.

6. Free Resources

Free resources, including downloadable PDFs, checklists, and email newsletters, are provided "as is" for general informational purposes. Free resources are subject to the same usage restrictions as paid products under Section 4, with the exception that no purchase is required to access them.

7. Intellectual Property

All content on the Services — including text, graphics, logos, designs, templates, data, and software — is owned by AX Sourcing or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

The "AX" logomark and "AX Sourcing" wordmark are trademarks of [CONFIRM: registered entity]. Nothing in these Terms transfers ownership of any AX Sourcing intellectual property to you. The license granted in Section 4 is the full extent of rights granted.

8. Acceptable Use

You agree not to:

  • Impersonate AX Sourcing, our personnel, or any other person or entity;
  • Submit false or misleading information.

We reserve the right to terminate access for any user who violates these terms.

The Services and all products are provided for informational and educational purposes. They are not professional, legal, financial, tax, or business advice. You should consult qualified professionals for advice specific to your situation.

10.2 No factory affiliations

AX Sourcing publishes information about manufacturers, factories, and countries based on independent research and field experience. We are not affiliated with any specific factory or supplier mentioned in our content. We do not endorse, recommend, or warrant the suitability of any third-party manufacturer for your specific needs. You are solely responsible for conducting due diligence — including factory audits, compliance verification, and reference checks — before engaging any factory or supplier.

10.3 No guarantee of outcomes

Following the guidance in our resources does not guarantee any particular outcome, including but not limited to successful sourcing, cost savings, quality outcomes, delivery timelines, or business success. Manufacturing, sourcing, and international trade involve risk. Apparel supply chains shift; what is accurate today may be outdated tomorrow.

10.4 As is

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

AX Sourcing shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunities — arising from or related to your use of the Services or any product, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

Our aggregate liability to you for any and all claims arising from or related to these Terms or your use of the Services shall not exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations in this section apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless AX Sourcing, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms;
  • Your violation of any applicable law or third-party rights;
  • Your misuse of any AX Sourcing product or content;
  • Disputes between you and any third party (including factories, suppliers, or other parties referenced in our content).

12. Third-Party Services

The Services use third-party providers, including:

  • Lemon Squeezy — payment processing and Merchant of Record. Governs your payment relationship.
  • Cloudflare — website hosting, content delivery, and security.
  • Unsplash — stock photography, loaded directly from Unsplash's content delivery network.
  • LinkedIn — for our company page and outbound links.

Your use of these third-party services is governed by their respective terms and privacy policies. AX Sourcing is not responsible for the practices of third-party providers.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms.

Upon termination: (a) your license to use any product you have purchased continues, subject to Section 4, unless terminated for material breach; and (b) the following sections survive termination — Section 4 (license restrictions), Section 7 (intellectual property), Section 9 (disclaimers), Section 10 (limitation of liability), Section 11 (indemnification), and Section 15 (governing law and disputes).

14. Modifications to the Services

We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. This includes adding, removing, or altering features, products, content, and pricing. We are not liable to you or any third party for any modification, suspension, or discontinuance of the Services.

15. Governing Law & Disputes

16.1 Informal resolution
